According to Microsoft’s corporate governance guidelines, the board of directors includes five committees. All committee members must be free of “any relationship that, in the opinion of the Board, would interfere with his or her exercise of independent judgment.” Some committees have other membership requirements as well.
This chart shows these committees, including their composition before and after the Nov. 11, 2003, addition of Charles Noski and Helmut Panke to the board. Bold-faced names represent the chairperson of each committee, who is chosen by the full board.
